Contest Rules (the “Rules”) – Treat your custodian photo contest – 2022 (the “Contest”)

The Contest sponsor is GDI Integrated Facility Services Inc. (“GDI”). Online platforms such as LinkedIn, Facebook and Instagram are not sponsors, hosts, or involved in this Contest in any manner.

The Contest period begins on September 20, 2022 at 12:01 a.m. (E.S.T.) and ends on September 23, 2022 at 11:59 p.m. (E.S.T.).

1. CONTEST EXPLANATION. The purpose of this Contest is to reward two (2) GDI’s and any of its affiliates’ or subsidiaries’ (“GDI Group Companies”) custodian employees (the “GDI Custodian”) and two (2) custodians that are not employed by GDI (the “External Custodian”, and collectively the GDI Custodian and the External Custodian are referred to as the “Custodian”) by using the hashtag #treatyourcustodian and by tagging @GDI Integrated Facility Services Inc. on the LinkedIn social media platform.
2. BEFORE ENTERING. Before entering a Custodian to the Contest, an entrant must be sure that she or he: (i) has validly and legally obtained the consent of the Custodian to use the Custodian’s image or likeliness; (ii) has validly and legally obtained the name and address of the Custodians; and (iii) agrees to abide by these Rules.
3. HOW TO ENTER. No purchase is necessary to enter the Contest. All users with a valid LinkedIn profile, name and profile photo may enter a Custodian to the Contest by: (i) using the hashtag #treatyourcustodian; (ii) tagging the @GDI Integrated Facility Services Inc. account; (iii) posting a photo of the Custodian; and (iv) adding a caption complying with the requirements of Section 4 (the “Entry”). The Custodian featured in an Entry meeting the criteria of Section 2(i) to (iv) will be automatically entered in the Contest.
4. ENTRY REQUIREMENTS. The Entry will comply with the following: (i) be the entrant’s original creation; (ii) not infringe any right of third-party; (iii) not have been published previously in another competition contest; (iv) be of good taste and in keeping GDI’s brand image; (v) not be explicit, offensive, obscene, profane, derogatory, defamatory, unsafe or dangerous; (vi) not contain any commercial content; (vii) not violate laws or regulations; or (viii) not contain any viruses or other interfering computer programming.
5. AUTHORIZATION TO USE THE ENTRANT’S PHOTO. By entering this Contest, the entrant consents to the use of its Entry (including the username and profile picture), name, and city of residence, in any publicity related to this Contest without compensation or prior notification. For example, entrant’s username, profile picture and post may be shared on linkedin, twitter, facebook or on gdi’s website.
6. GRAND PRIZES. Two (2) grand prizes will be awarded as follows: one (1) grand prize to a GDI Custodian and one (1) grand prize to an External Custodian. The grand prizes consist of two (2) iRobot Roomba 692 wi-fi Connected Robot Vacuum with replenishment kits each having a value of $480. Two (2) secondary prizes will be awarded as follows: one (1) secondary prize to a GDI Custodian and one (1) secondary prize to an External Custodian. The secondary prizes consist of two (2) Ninja Foodi 6-in-1 8-qt. (7.6L) 2-Basket Air Fryer each having a value of $190 (collectively, the “Prizes” or each a “Prize”).
7. ONE ENTRY PER CUSTODIAN – ONE PRIZE PER CUSTODIAN. Only one (1) Entry per featured Custodian is permitted. The Entry remains valid for the duration of the Contest unless drawn or otherwise disqualified in accordance with these Rules. Each Custodian can only win one (1) Prize.
8. SELECTION OF THE WINNERS. Winners will be selected amongst the Custodian posted and compliant with Section 2(i) to (iv). The Entries will be separated in two (2) groups: the GDI Custodian group and the External Custodian group. The Entries of each group featuring the highest number of engagements namely likes and shares will be selected as potential grand Prize winners. The second highest number in each group will be selected as potential secondary Prize winner. The selected potential Prize winner are referred to collectively as the “Selected Entrants” or each a “Selected Entrant”.
9. ODDS OF WINNING. The odds of winning depend on the number of engagements namely likes and shares, received on the entrants’ Entry.
10.  CONTACTING THE SELECTED ENTRANTS. GDI’s representatives will make three (3) attempts to contact the Selected Entrants by LinkedIn messenger within three (3) business days of the Contest closing date. Selected Entrants will have twenty-four (24) hours of the third (3^rd) communication attempt to answer.
11. ALTERNATE ENTRANT. If the Selected Entrant fails to answer within the above stated time, GDI will select an alternant entrant which will be the next person having the highest number of engagements. The process will continue up and until a Selected Entrant is declared winner.
12. INFORMATION TO PROVIDE BY THE SELECTED ENTRANT. Once contacted, the Selected Entrant will be required to provide the full name and address of the Custodian. If the Selected Entrant does not provide the required information by the date established by GDI, an alternate entrant will be contacted per Section 12.
13. RELEASE FORM. GDI will require the Selected Entrant to sign and return a declaration and release form. Such form must be returned to GDI by the date as established by GDI prior to confirming the Selected Entrant as confirmed winner. If the Selected Entrant does not agree to sign the declaration and release form or if such form is not received by GDI by the stated date, GDI may in its sole discretion draw an alternate entrant following the process of Section 12.
14. BEFORE BEING DECLARED A WINNER. Before being declared winner, a Selected Entrant must: (i) confirm compliance with the Rules; (ii) provide full name and address of the Custodian; and (iii) Sign the declaration and release form.
15. PRIZES REMITTANCE. Prizes will be sent directly to the Custodian’ mailing address as provided by the entrant.
16. PARTICIPANTS. The Contest is open to all legal residents of Canada (excluding Quebec) who have reached the age of majority in their province or territory of residence. The featured Custodian must be a legal resident of Canada (excluding Quebec), have reached the age of majority in the Custodian’s province or territory of residence.
17. NO TRANSFER. NO SUBSTITUTION. Prizes are not transferable and must be accepted as awarded. No substitutions are permitted except at GDI’s option. GDI reserves the right to substitute a Prize for another Prize of equal or greater value.
18. DISQUALIFICATION. Any Entry will be disqualified if: (i) the Entry or the entrant does not comply with these Rules; (ii) the entrant directly benefits from the Prize instead of the Custodian; or (iii) the entrant does not intend to deliver or help deliver the Prize to the Custodian.
19. VERIFICATION OF THE ENTRIES. Entries are subject to verification by GDI at any time and for any reason. GDI reserves the right to administer this Contest and make all decisions to ensure proper conduct of the Contest, in its sole discretion. To that effect, GDI may at any time require proof of identification, verify any Entry, or determine the eligibility or legitimacy of an Entry.
20. TERMINATION OF THE CONTEST. GDI reserves the right to modify, amend or terminate this Contest at its sole discretion for any reason whatsoever. For example, GDI may decide to amend the Contest timeframes, dates or mechanics, or terminate the Contest due to inappropriate use of the Contest.
21. EXCLUDED LIABILITY. None of the co-operators, affiliates, advertising, promotional entities, or any other individuals or entities involved in the development, implementation or fulfilment of this Contest, and their respective employees, directors, officers, agents and representatives (collectively, the “Contest Parties”) assumes any responsibility whatsoever for lost, stolen, delayed, late, damaged or misdirected Entries. The Contest Parties will not be responsible for any problems or technical malfunction of any network, platforms, lines, computer equipment, software. Any injury or damage to an entrant’s or any other person’s computer related to or resulting from playing or downloading any material in relation to the promotion or involvement in the Contest will be under this person’s sole responsibility and GDI will not incur any liability thereto.
22. REPRESENTATION AND WARRANTY OF THE ENTRANT.  The entrant represents and warrants that: (i) she or he has all necessary rights, title and interest in the photo posted; (ii) she or he has collected the Custodian’s consent prior posting the photo of the Custodian; (iii) the photo has not been previously published; (iv) the photo does not infringe on the intellectual property rights of any third party; and (v) the photo does not defame or invade privacy rights of any third party.
23. INDEMNIFICATION. The entrant agrees to indemnify, defend and hold harmless the Contest Parties from all claims arising out or in connection with: (i) any breach by the Entrant of the Rules; (ii) the use (including misuse) of the Entry; or (iii) the infringement of third-party’s intellectual property rights.
24. LICENCE. The entrant grants to GDI an irrevocable, non-exclusive, perpetual, worldwide, royalty-free, license to reproduce, use, copy, store, broadcast, display, distribute, edit, alter, combine with other material, post, commercialize, or otherwise use, all or any part of the Entry in GDI’s promotional materials and communications.
25. WAIVER – MORAL RIGHTS. The entrant waives all moral rights the entrant may have in and to the entry.
26. APPLICABLE LAW. This Contest, the Rules, and any other issue or question concerning this Contest will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions. The Contest Parties and each entrant in the Contest hereby consents to the exclusive jurisdiction and venue of the courts located in the Province of Ontario in action relating to this Contest. This Contest will comply with all local law applicable thereto.
27. VIOLATION OF CRIMINAL AND CIVIL LAW. CAUTION: ANY ATTEMPT BY AN ENTRANT TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, GDI RESERVES THE RIGHT TO SEEK DAMAGES OR EQUITABLE RELIEF FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW INCLUDING CRIMINAL PROSECUTION.
28. SEVERABILITY. The invalidity or unenforceability of any provision of these Rules will not affect the validity or enforceability of any other provision. If any provision is determined to be invalid, unenforceable or illegal, these Rules will otherwise remain in effect and be construed in accordance with the terms as if the applicable provision were not contained herein.
29. PRIVACY AND PERSONAL INFORMATION. Personal information of entrant will only be collected, stored, used and shared by GDI for the purpose of administering the Contest in accordance with these Rules. If you have previously consented to GDI’s use of your personal information for marketing and promotional purposes, you continue to agree that GDI may send you offers, promotions and information about its products and services. We will respect your preferences otherwise recorded with you and ensure that you can withdraw your consent at any time.
